How to add NDAs to your Data Room Before Sharing Sensitive Files

Require anyone viewing your data room to sign an NDA before they can access your files, and keep a signed, downloadable record of every agreement.

Using this feature, anyone viewing your data room will be required to sign an NDA before they can access your files. Visible keeps a signed, downloadable record of every NDA, so you have proof of the agreement.

Step One: Navigate to your Data Room. Click the Share button and then choose the NDA tab.


Open your data room's Sharing page and go to the NDA tab. Turn on "Require NDA before access." Once this is on, anyone opening the room must agree to the NDA before they can view any file inside it.

Step Two: Choose your NDA template

You can use the Visible standard NDA (a simple click-to-accept agreement) or upload your own NDA as a PDF. This lets you use your own company's document if you already have one you prefer.

Step Three: Once invited (using the Visible contacts method) the investor will receive an email to access the data room. They'll authenticate and then go through the NDA workflow to access the data room.

When someone opens your data room link, they first verify their email as usual. Then they are asked to review the NDA, type their name, and click "I agree" before the room opens. Once they have signed, they will see a banner confirming the room is protected and when the signature was made.

Step Four: Track who has signed.

From the Signers view, you can see who has signed, who is still pending, and who has expired.

Each signature comes with a full record: the visitor's email, typed name, IP address, timestamp, and the exact version of the NDA they agreed to. You can download this proof from the Signers view whenever you need it.
